Ethos Limited, one of India’s leading luxury watch retailers, has announced the incorporation of its wholly-owned subsidiary – Ficus Trading LLC – in Dubai, United Arab Emirates, effective April 17, 2025. The move is part of the company’s strategic initiative to strengthen its footprint in international markets, particularly across the GCC region.

Ficus Trading LLC has been incorporated with License Number: 1474470 and Commercial Registration Number: 2538436, issued by the Department of Economy and Tourism (DET), Dubai. Ethos has infused AED 300,000 (approx. ₹67 lakh) as the initial paid-up capital through 100% equity ownership.

The newly formed entity will be engaged in the trading of watches, clocks, and their spare parts, aligning with Ethos’ core business operations. As the company is newly incorporated, historical financial data such as turnover is currently not applicable.

In a regulatory filing, Ethos clarified that the incorporation qualifies as a related party transaction, being a wholly-owned subsidiary, but noted that the promoters or promoter group have no direct interest in the new entity. The acquisition does not require any regulatory or governmental approvals and has been executed via cash infusion.

Commenting on the rationale behind this step, Ethos stated that the incorporation of Ficus Trading LLC will serve as a strategic gateway to international expansion, especially targeting the growing demand for luxury timepieces in the Middle East.

This development reaffirms Ethos Limited’s long-term vision of evolving into a global player in the luxury retail segment while tapping into emerging opportunities in overseas markets.
