Coforge U.K. Limited (“Seller”), a wholly owned subsidiary of Coforge Limited, has entered into a Share Purchase Agreement with Sapiens UK Limited (“Buyer”) for the sale and transfer of its entire shareholding in Coforge Advantage Go Limited (“Target”). The transaction is subject to the satisfaction (or waiver) of customary conditions and completion obligations as outlined in the Share Purchase Agreement.

During the last financial year, Coforge Advantage Go Limited contributed approximately 1.7% to the consolidated total income and 2.7% to the consolidated net worth of Coforge Limited. The execution date of the Share Purchase Agreement is April 28, 2025. The transaction completion is targeted within 4 to 6 weeks from the execution date, subject to fulfilment of agreed conditions by both parties.

Under the terms of the agreement, the base consideration for the sale is GBP 43 million, subject to customary adjustments. The Buyer, Sapiens UK Limited, is part of the Sapiens group, a global provider of software solutions for the insurance industry, listed on NASDAQ and TASE under the symbol SPNS. Sapiens, with a workforce of nearly 6,000 professionals, serves over 600 customers across North America, Europe, and the Asia Pacific region. The buyer is not related to Coforge’s promoter group or group companies.

The transaction does not fall under the ambit of related party transactions and is being undertaken outside any scheme of arrangement, including Regulation 37A of SEBI (LODR) Regulations. Additionally, the transaction is not classified as a slump sale.
