Dixon Technologies (India) Limited has announced the execution of a Joint Venture Agreement on April 30, 2025, with Inventec Corporation and its wholly owned subsidiary Dixon IT Devices Private Limited. The agreement outlines the terms governing the operations and management of the Joint Venture Company (JV Company), which will focus on manufacturing notebook PCs, desktop PCs including components, and servers within India. The closing of the agreement remains subject to the satisfactory fulfillment of conditions precedent as specified in the agreement. Upon completion, the shareholding structure of the JV Company will be 60% held by Dixon Technologies and 40% by Inventec Corporation.

The arrangement marks a strategic step in Dixon’s efforts to expand its footprint in the electronics manufacturing space and align with India’s push for domestic electronics production. As per the terms of the JV Agreement, Dixon Technologies will have the right to nominate three directors, while Inventec will nominate two. The agreement also includes provisions such as pre-emptive rights, affirmative voting rights for both parties, rights of first refusal, tag-along rights, share transfer restrictions, appointment of key personnel, warranties, termination clauses, and mechanisms for dispute resolution. There has been no monetary consideration exchanged between the parties for this agreement.

This is a domestic joint venture, and none of Dixon’s promoters, promoter group, or group companies have any interest in the JV Company. The transaction does not qualify as a related party transaction. As of March 31, 2025, the JV Company has not commenced operations and, therefore, has no turnover. The company expects this collaboration to play a pivotal role in its strategy to diversify and strengthen its presence in high-growth technology hardware manufacturing.
