NIIT Learning Systems Limited (NIIT MTS), through its wholly owned subsidiary NIIT (Ireland) Limited, has successfully completed the acquisition of 100% equity shareholding in MST Investment Holding GmbH, Germany, along with its subsidiaries, collectively known as the MST Group. The total deal size is valued at EUR 22.37 million, which includes EUR 15.35 million for the equity acquisition and an additional EUR 7.02 million to cover existing loans, subject to customary adjustments as per the definitive agreement.

Founded in 2009 and headquartered in Munich, MST Group is a reputed provider of managed learning services in the DACH region (Germany, Austria, and Switzerland). The company is known for its strong presence in the automotive, industrial, and energy sectors, serving marquee clients across the region. MST Group recorded a consolidated gross turnover of EUR 17.43 million in FY24 (as per German GAAP), while the proforma revenue, net of pass-through expenses, stood at approximately EUR 10.6 million.

This strategic acquisition is aligned with NIIT MTS’ broader goal of driving global growth through capability enhancement, geographical expansion, and access to high-value customer segments. The transaction adds significant value to NIIT’s offerings in the managed learning space, especially with the QuickStart Learning Academy capabilities brought in through MST Group.

One of the key strategic advantages of this acquisition is the expansion of NIIT MTS into Europe’s fastest-growing markets, offering the company a stronger foothold in the competitive DACH region. The deal also boosts NIIT MTS’s nearshore capabilities in Hungary, enabling the company to deliver multilingual, onsite training and support services to global clients, thus improving delivery scale and customer experience.

The MST Group comprises multiple subsidiaries including MST Group GmbH (Germany), MST UK LTD (United Kingdom), MST Shanghai Co. Ltd. (China), and MST South Carolina Inc. (USA), with MST Holding GmbH acting as the parent entity. Entities under liquidation are excluded from the acquisition. There are no related party connections involved in this transaction, and no governmental or regulatory approvals were required.

According to NIIT MTS, this acquisition supports its long-term ambition to become a world leader in corporate learning solutions, leveraging MST’s domain expertise, regional presence, and client base to build scale, deepen sectoral reach, and accelerate digital learning transformation across industries.
