Tata Motors Limited has announced that Jaguar Land Rover Limited (JLR), its wholly owned subsidiary in the UK, has entered into a share purchase agreement with Tata Autocomp Systems Limited (TACO) for the sale of its 80% stake in Jaguar Land Rover Ventures Limited (JLRV). This agreement, signed on March 28, 2025, also includes the sale of an 80% stake in Artifex Interior Systems Limited (AISL), a wholly owned subsidiary of JLRV, to TACO. As a result, both JLRV and AISL have ceased to be subsidiaries of Tata Motors with effect from March 28, 2025.

JLRV and AISL contributed revenue of GBP 296 million (₹3,182 crore) in the last financial year, accounting for 0.98% of Tata Motors’ consolidated revenue. Their net worth stood at GBP 14 million (₹150 crore), representing 0.16% of Tata Motors’ consolidated net worth. The transaction has been executed at arm’s length, and JLR, as the seller, will receive GBP 77 million for its 80% shareholding from TACO. Additionally, JLR may receive a deferred consideration of GBP 6.3 million if AISL meets certain conditions outlined in the agreement.

TACO, the buyer, is a subsidiary of Tata Sons Private Limited, which is the promoter of Tata Motors. Since the sale is being carried out by JLR, a subsidiary of Tata Motors, no direct consideration will be received by Tata Motors itself. The transaction is classified as a related-party transaction but has been conducted on an arm’s length basis.

Tata Motors has submitted the relevant details as per SEBI Listing Regulations, ensuring transparency and compliance with disclosure norms.
