Whirlpool of India Limited has provided an update on pending tax-related litigations, in continuation of its earlier intimation dated November 22, 2024. The revised details of ongoing disputes, as required under SEBI Listing Regulations, have been disclosed in Annexure A.

Key Updates on Income Tax Matters:

1. Advertisement, Marketing & Sales Promotion (AMP) Expense Disallowance:
   • The Income Tax Department had disallowed AMP expenses worth ₹1,514 crore for AY 2008-09 to AY 2020-21.
   • The Delhi High Court ruled in favor of Whirlpool, but the Income Tax Department filed an SLP with the Supreme Court.
   • The Supreme Court dismissed the SLP on November 22, 2024, in favor of Whirlpool for AY 2008-09.
   • The disallowance for ₹1,181 crore related to other years will be addressed separately.
2. Other Transfer Pricing Disallowances:
   • ₹60.72 crore was disallowed for AY 2004-05, 2005-06, and 2020-21.
   • The company has appealed, and draft orders for AY 2022-23 and 2005-06 were received in March 2025.
   • The total disputed amount has increased to ₹72.11 crore.
3. Other Corporate Tax Disallowances:
   • Non-Transfer Pricing disallowances related to R&D expenses, bad debts, and package tour/travel provisions.
   • Total disputed amount: ₹84.55 crore (AY 1994-95 to AY 2019-20).
   • For AY 2020-21, the authorities had initially disallowed ₹21.64 crore, later reduced to ₹0.02 crore through rectification on March 10, 2025.
   • The revised total disputed amount stands at ₹84.57 crore.

Next Steps:

Whirlpool of India will continue legal proceedings at the respective appellate forums. The final tax liability will be determined after the disposal of these cases.
